1. Agreement to Terms

By accessing the Supplierly website and platform ("the Site"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you do not accept these Terms, you do not have permission to use or remain on the Site.

The Site is operated by Nordlys Consultancy Ltd, trading as (t/a) Supplierly, a company incorporated in England and Wales (registered no. 16433338), with registered address at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("Supplierly", "we", "us").

2. Description of Service

Supplierly is a B2B platform that facilitates product information management and change governance between suppliers and their customers in the hospitality industry. Our services include product catalogue management, price file processing and distribution, product change tracking and approval workflows, and integration with third-party systems.

3. Intellectual Property Rights and Permissions

Supplierly owns all proprietary rights to the Site, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site ("Content"), as well as the trademarks, service marks, and logos contained therein ("Marks").

No part of the Site or Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, scraped, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.

Without limiting the above, you must not use the Site or any data, reports, or outputs generated through the platform to provide a competing service, or to reproduce or redistribute Supplierly’s functionality to third parties.

"Supplierly" is a registered trade mark of Nordlys Consultancy Ltd. You may not use the Supplierly name, logo, or any associated Marks without our prior written consent.

We reserve all rights not expressly granted to you in these Terms.

4. User Accounts

To access certain features of the Site, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorised access
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose
  • Upload false, misleading, or harmful content
  • Interfere with the Site’s operation or security
  • Attempt to gain unauthorised access to other accounts or systems
  • Use automated systems (bots, scrapers, or similar tools) to access the Site without our prior written permission
  • Resell or redistribute access to the Site

6. Content and Data

Your Content: You retain ownership of data and content you upload to the Site. By uploading content, you grant us a licence to use, store, and process it as necessary to provide our services.

Accuracy: You are responsible for ensuring the accuracy of product information, pricing data, and other content you upload. We do not independently verify or guarantee the accuracy of user-submitted content.

Data Protection: Our handling of personal data is governed by our Privacy Policy.

7. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or secure. We are not responsible for decisions made based on information accessed through the Site.

8. Limitation of Liability

To the maximum extent permitted by law, Supplierly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including but not limited to loss of profits, loss of data, or loss of business.

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Site, your content, or your violation of these Terms or any applicable law.

10. Termination

We may suspend or terminate your access to the Site at any time for violation of these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Site ceases. Provisions that should survive termination (such as intellectual property, limitations of liability, and indemnification) will remain in effect.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on the Site or sending you an email. Continued use of the Site after changes constitutes acceptance of the modified Terms.
